Acceptance of terms
This Terms of Use Agreement ("Terms") governs your access to and use of QuoteFlash, LLC's website located at quoteflash.com and all related services (collectively, the "Platform"). By accessing or using the Platform in any way, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you may not access or use the Platform. If you are using the Platform on behalf of a business, you represent that you have authority to bind that entity to these Terms.
The Platform is intended for individuals at least 18 years of age located within the United States. By using the Platform, you represent that you meet these requirements.
Key definitions
- "Platform" — The QuoteFlash website (quoteflash.com) and all related services provided by QuoteFlash, LLC.
- "Homeowner" — A User who submits a home service project request, receives contractor quotes, or explores financing options through the Platform.
- "Contractor" or "Pro" — A licensed, insured service professional who registers on the Platform to receive project leads.
- "Lead" — A homeowner's project request shared with one or more Contractors who may be interested in the work.
- "Financing Partner" — A third-party lender or financial services provider available through the Platform's financing referral feature.
- "User" — Any individual or entity who accesses or uses the Platform, including Homeowners and Contractors.
- "User Content" — Any text, images, reviews, or project descriptions submitted through the Platform by a User.
Marketplace model — what QuoteFlash is and is not
QuoteFlash operates an online marketplace that enables homeowners to submit project requests and receive interest or quotes from local service professionals. QuoteFlash is a marketing lead generator — not a party to any service agreement between a Homeowner and a Contractor.
QuoteFlash does not: (a) perform or subcontract any home services; (b) guarantee the quality, safety, or legality of any Contractor's work; (c) employ Contractors or create any agency relationship with them; (d) originate, service, or make loans; or (e) provide financial, legal, insurance, or investment advice.
Contractors are independent professionals and customers of QuoteFlash, not employees, agents, partners, or joint venturers. Contractors are solely responsible for their licensing, insurance, workmanship, pricing, and compliance with applicable laws.
Homeowner terms
Submitting a project request
When you submit a project request through the Platform, you are requesting to be connected with Contractors who may be available and interested in your project. Submitting a request does not obligate you to hire any Contractor, nor does it guarantee that any Contractor will contact you.
You agree to provide accurate, complete, and truthful information about your project. Misrepresentation of your project or contact information is a violation of these Terms.
Contractor contact
By submitting a project request, you authorize QuoteFlash and matched Contractors to contact you via phone, text, or email regarding your project. You may opt out at any time by following the instructions in any message or by contacting us at hello@quoteflash.com.
QuoteFlash may share your project information with up to five (5) Contractors per request. You understand that multiple Contractors may contact you regarding a single submission.
Your responsibility
You are solely responsible for evaluating Contractors, verifying their licenses and insurance, negotiating terms, and ensuring work is completed satisfactorily. QuoteFlash provides information to help you make informed decisions but does not endorse, guarantee, or warranty any Contractor or their work.
Contractor (pro) terms
Eligibility & vetting
To register as a Contractor, you must be properly licensed, bonded, and insured as required by applicable laws in the jurisdictions where you perform work. By registering, you represent and warrant that you and anyone working on your behalf meet these requirements at all times.
QuoteFlash reserves the right to conduct background checks and license verifications on Contractors. You authorize QuoteFlash to use your information for these purposes.
Lead conduct
When you receive a Lead through the Platform, you agree to: (a) respond to the Homeowner promptly and professionally; (b) provide accurate information about your services, pricing, and availability; (c) perform any services you agree to in a professional, workmanlike manner in accordance with industry standards; and (d) comply with all applicable laws.
Leads may be shared with multiple Contractors simultaneously. QuoteFlash does not guarantee exclusivity of any Lead unless explicitly stated in a separate written agreement.
Independent contractor status
You are an independent contractor and a customer of QuoteFlash. Nothing in these Terms creates an employment relationship, agency, partnership, or joint venture between you and QuoteFlash. You are solely responsible for your own scheduling, taxes, insurance, and legal compliance.
Financing referrals
QuoteFlash may connect homeowners with financing options for home improvement projects. QuoteFlash is a marketing lead generator for financing products — not a lender, broker, or financial advisor.
Submitting a financing inquiry: (a) is not a loan application; (b) does not guarantee any loan offer or approval; (c) may result in a soft credit inquiry that does not affect your credit score; and (d) authorizes QuoteFlash to share your information with Financing Partners.
All financing terms, rates, and approvals are solely determined by Financing Partners. You should independently evaluate any financing offer and consult a qualified financial advisor before making financial decisions.
QuoteFlash may receive compensation from Financing Partners for referrals. This may influence which partners or products are presented but does not represent all options available in the marketplace.
Prohibited conduct
As a User, you agree that you will not:
- Provide false, misleading, or fraudulent information to QuoteFlash, Homeowners, or Contractors;
- Use the Platform to solicit Homeowners or Contractors off-platform to circumvent lead fees;
- Use automated systems, bots, or scrapers to access or extract data from the Platform without written consent;
- Submit fake project requests, fake reviews, or otherwise manipulate the Platform's matching or review systems;
- Harass, threaten, or harm any other User or QuoteFlash employee;
- Violate any applicable federal, state, or local laws in connection with your use of the Platform;
- Impersonate any person or misrepresent your qualifications, licensing, or insurance status;
- Use information obtained through the Platform to contact Users for purposes unrelated to the original project request;
- Post or distribute any content that is defamatory, obscene, discriminatory, or otherwise harmful;
- Interfere with the security or proper operation of the Platform; or
- Attempt to indirectly undertake any of the foregoing.
Lead fees
QuoteFlash charges Contractors a per-lead fee for each project Lead delivered through the Platform. Lead fees are disclosed at the time of registration or purchase and are subject to change with reasonable notice.
All lead purchases are final and non-refundable unless a Lead is determined to be invalid (e.g., duplicate, false contact information, or outside the Contractor's stated service area), in which case a credit may be issued at QuoteFlash's sole discretion.
QuoteFlash is paid by Contractors for lead generation services. This compensation relationship does not create any warranty, endorsement, or recommendation by QuoteFlash of any Contractor.
User content & reviews
By submitting User Content to the Platform, you grant QuoteFlash a worldwide, royalty-free, perpetual, non-exclusive license to use, reproduce, modify, distribute, and display that content in connection with the Platform and our marketing materials.
You represent that: (a) you own or have the rights to submit such content; and (b) your content does not violate any third-party rights or applicable laws.
QuoteFlash reserves the right to remove User Content that violates these Terms or is otherwise objectionable in our sole discretion.
Intellectual property
All Platform content — including the QuoteFlash name, logo, design, text, graphics, and software — is owned by or licensed to QuoteFlash and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purposes only. You may not copy, modify, distribute, or exploit Platform content without QuoteFlash's prior written consent.
Disclaimers
QuoteFlash disclaims all warranties, including: (a) implied warranties of merchantability and fitness for a particular purpose; (b) any warranty that Contractors are licensed, insured, or trustworthy; (c) any warranty that the Platform will be error-free or uninterrupted; and (d) any warranty regarding the accuracy of contractor profiles, reviews, or financing information.
Any reference to a Contractor being "vetted" or "verified" indicates only that the Contractor completed QuoteFlash's registration process — it is not an endorsement or guarantee of their qualifications or workmanship.
You are solely responsible for evaluating and hiring any Contractor. Exercise due diligence before entering into any service agreement.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUOTEFLASH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE PLATFORM, INCLUDING LOSS OF PROFITS, PROPERTY DAMAGE, OR PERSONAL INJURY.
IN NO EVENT SHALL QUOTEFLASH'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF: (A) THE TOTAL LEAD FEES PAID BY YOU TO QUOTEFLASH IN THE THREE (3) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
Some jurisdictions do not allow limitations on liability, so the above may not apply to you in full.
Indemnification
You agree to defend, indemnify, and hold harmless QuoteFlash and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any services you perform or receive through the Platform; or (e) any inaccurate information you provide.
Arbitration & dispute resolution
Informal resolution first
Before initiating any formal dispute process, contact QuoteFlash at hello@quoteflash.com with a written description of your dispute and the relief you seek. Both parties agree to make good-faith efforts to resolve the dispute informally for sixty (60) days before proceeding to arbitration.
Binding arbitration
If informal resolution fails, any dispute arising out of or related to these Terms or your use of the Platform shall be resolved by final, binding arbitration administered by JAMS under its applicable rules, on an individual basis only. The Federal Arbitration Act governs this provision.
Class action waiver
YOU AND QUOTEFLASH WAIVE THE RIGHT TO FILE OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR HAS NO AUTHORITY TO CONDUCT CLASS OR REPRESENTATIVE ARBITRATIONS.
Exceptions
Either party may seek relief in small claims court for disputes within that court's jurisdiction, or seek injunctive relief in court to protect intellectual property rights.
30-day opt-out
You may opt out of this arbitration provision within thirty (30) days of first accepting these Terms by emailing legal@quoteflash.com with the subject line "Arbitration Opt-Out" along with your name and email address.
Governing law & venue
These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law provisions. Any disputes not subject to arbitration shall be resolved in state or federal courts located in Mecklenburg County, North Carolina, and you consent to the personal jurisdiction of those courts.
Modifications to terms
QuoteFlash reserves the right to modify these Terms at any time. Material changes will be posted on the Platform with an updated "Last Updated" date. Changes become effective thirty (30) days after posting. Your continued use of the Platform after that date constitutes acceptance of the updated Terms.
Contact information
These Terms constitute the entire agreement between you and QuoteFlash regarding the Platform. If any provision is found unenforceable, the remaining provisions continue in full force and effect.
